Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AdMetron (the “Service”) operated by AdMetron (“we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

AdMetron is a software-as-a-service platform that connects to advertising platforms (such as Google Ads, Meta Ads, TikTok Ads) and customer relationship management systems (such as JobNimbus, AccuLynx, Salesforce) to compute revenue attribution for ad campaigns. We may add, change, or remove features at any time at our discretion.

2. Eligibility and Accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You must provide accurate and complete information when creating an account.
  • You are responsible for safeguarding your password and any actions taken under your account.
  • You must promptly notify us of any unauthorized use at security@admetron.com.
  • One person or legal entity may not maintain more than one free trial account.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Reverse-engineer, decompile, or attempt to extract source code, except where permitted by law.
  • Resell, sublicense, or lease access to the Service without our written consent.
  • Interfere with or disrupt the Service, servers, or networks.
  • Submit false, misleading, or infringing content.
  • Use the Service to send spam, malware, or to scrape data from third-party platforms in violation of their terms.
  • Probe, scan, or test the vulnerability of the Service without prior written permission.

We may suspend or terminate your account for any violation of this section.

4. Third-Party Integrations

The Service connects to third-party platforms at your direction. Your use of those platforms is subject to their own terms and privacy policies, not ours. You are responsible for ensuring you have the necessary rights and permissions to connect each integration and to authorize AdMetron to access the associated data on your behalf. We are not liable for any acts, omissions, downtime, or content of third-party platforms.

5. Your Content and License

You retain all rights to the data you connect to or upload into the Service (“Your Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, and process Your Content solely as needed to provide and improve the Service. We will not use Your Content for any other purpose without your consent.

6. Fees and Payment

The Service may be offered free of charge during a beta or trial period. Once paid plans are available, fees will be displayed at the time of purchase and are charged in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change fees with at least 30 days' notice; changes will apply at the start of your next billing cycle.

7. Intellectual Property

The Service, including all software, design, text, graphics, and trademarks, is owned by AdMetron or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

8. Confidentiality

Each party agrees to protect the other party's confidential information with at least the same degree of care it uses for its own confidential information, and in any event not less than reasonable care. Confidential information does not include information that is publicly known, independently developed without reference to the other party's information, or rightfully received from a third party without confidentiality obligations.

9. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your account at any time for material breach of these Terms, illegal use, or non-payment, with reasonable notice where practicable. Upon termination your right to access the Service ends, and we will delete Your Content as described in our Privacy Policy. Sections that by their nature should survive termination (including 5, 7, 10, 11, 12, 13, and 14) will survive.

10. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any data provided through the Service will be accurate or complete. Attribution models are estimates based on the data you provide; we do not guarantee any particular business outcome.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will AdMetron be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, or goodwill, arising out of or in connection with the Service, even if advised of the possibility of such damages. Our aggregate liability for all claims arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim or (b) one hundred U.S. dollars (USD $100).

12. Indemnification

You agree to defend, indemnify, and hold harmless AdMetron and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (i) your use of the Service, (ii) your violation of these Terms, or (iii) your violation of any third party's rights, including any third-party platform's terms of service.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. The parties waive any right to a jury trial.

14. Changes to These Terms

We may modify these Terms at any time. Material changes will be announced by email and the updated “Effective date” at the top of this page. Your continued use of the Service after a change constitutes acceptance of the modified Terms.

15. Miscellaneous

These Terms (together with our Privacy Policy) are the entire agreement between you and AdMetron regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
